| The authorized capital of ROTOBLOCK Corporation consists of 75,000,000 shares of common stock with
a par value of $.001 per share. On March 31, 2004, ROTOBLOCK made an initial share issuance of $15,000,000 common shares
to acquire all of the shares of ROTOBLOCK Inc. Since that time
the company has filed an SB2 registration statement (effective November
23, 2004) and completed an offering of 10,000,000 Units at %.05
per Unit (each unit consisting of 1 shares and ½ warrant).
Each warrant entitles the holder to purchase one common share
for $.50 and is exercisable for two years. |
