Item 5.02 Departure of Directors or Principal Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
The Registrant is announcing resignation of Thomas M. Howard as Chief Financial Officer and as a director, effective June 5, 2008. The Registrant also is announcing the appointment of Richard H. DiStefano as Chief Operating Officer, effective June 5, 2008.
Mr. DiStefano was most recently Senior Director for InterActive Corp. Previously, he spent three years as director of mobile products for match.com of Dallas, Texas. Mr. Howard is a graduate of the University of California, Davis.
At the present time, Mr. DiStefano does not have an employment agreement or other compensatory arrangement with the Registrant.
